1.Acceptance of terms
These Terms & Conditions ("Terms") govern your access to and use of vibc.ai and its related services (collectively, the "Platform"), operated by VEUGA Network LLC ("vibc", "we", "us", or "our"). By creating an account, listing a product, making a purchase, or otherwise using the Platform, you agree to be bound by these Terms and by our Privacy Policy.
If you do not agree to these Terms, you may not use the Platform. If you are using the Platform on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2.Definitions
- "Builder" means a user who lists, hosts, or sells software products on the Platform.
- "Buyer" means a user who purchases or subscribes to a product listed on the Platform.
- "Product" means any software application, tool, or service listed by a Builder.
- "Content" means any text, images, code, listings, or other materials submitted to the Platform.
- "Pillars" refers to the Platform's core services: vibc Store (marketplace), vibc Host (hosting), vibc Pay (payments), and vibc Game (gamification).
3.Accounts & eligibility
You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use the Platform. Account authentication is provided through a third-party service (Clerk). You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
You agree to provide accurate, current, and complete information and to keep it updated. We may suspend or terminate accounts that contain false information or that are used in violation of these Terms.
4.Builder obligations
As a Builder, you are solely responsible for the products you list, including their functionality, security, lawfulness, and the support you provide to your Buyers. You represent and warrant that:
- You own or have the necessary rights to list and sell your product;
- Your product does not infringe any third party's intellectual property or other rights;
- Your product does not contain malware, security vulnerabilities introduced in bad faith, or unlawful functionality;
- Your product descriptions and marketing claims are accurate and not misleading;
- You will comply with all applicable laws, including data-protection and consumer-protection laws, in operating your product.
You retain full ownership of your product and code. vibc provides hosting, marketplace, and payment facilitation services; it does not acquire ownership of your product by virtue of these Terms.
5.Product listings & content
All new product listings are subject to review before publication. We may approve, reject, request changes to, or remove any listing at our discretion, including listings that violate these Terms or that we reasonably believe could harm Buyers or the Platform.
By submitting Content, you grant vibc a non-exclusive, worldwide, royalty-free license to host, display, reproduce, and promote that Content for the purpose of operating and marketing the Platform. This license ends when you remove the Content, except where it has been shared with others who have not removed it, or where we must retain it to comply with law.
6.Fees & revenue share
vibc offers multiple plans. The Platform retains a percentage of Builder sales as a service fee, and the Builder keeps the remainder ("revenue share"). The Builder's share depends on their plan:
- Free — no monthly fee; Builder keeps 75% of net sales.
- Pro — monthly subscription fee; Builder keeps 78% of net sales.
- Studio — monthly subscription fee; Builder keeps 80% of net sales.
"Net sales" means the amount paid by Buyers after deduction of third-party payment-processing fees (for example, Stripe's fees). Plan fees and revenue-share percentages are described on our pricing page and may be updated as described in Section 15. Payment processing fees are set by our payment provider and are not controlled by vibc.
7.Payments & payouts
Payments are processed by Stripe, Inc. through Stripe Connect. To receive payouts, Builders must connect a Stripe account and agree to Stripe's terms of service. By using the payment features, you authorize vibc to instruct Stripe to collect Buyer payments and to transfer your revenue share to your connected account.
Payouts are made on a recurring schedule subject to Stripe's processing times and any holds Stripe may apply. vibc is not a bank, money transmitter, or payment processor and does not hold your funds; we facilitate payments through Stripe. We are not responsible for delays, holds, or errors caused by the payment provider or by inaccurate account information you provide.
Refunds and chargebacks are governed by the Builder's stated refund policy and by Stripe's rules. Builders are responsible for handling refund requests for their own products. Refunded amounts, chargebacks, and associated fees may be deducted from a Builder's balance or future payouts.
You are responsible for determining and paying any taxes applicable to your sales.
Purchase types. Builders may offer Products as recurring monthly subscriptions, one-time purchases, or both. For subscriptions, you may cancel at any time and will retain access until the end of your current billing period; cancellations take effect at period end and are not prorated unless required by law. One-time purchases grant the access described on the listing and do not recur. Access to a Product (including any links, license keys, or hosted instances) is provided as described on the Product listing.
Automated review. vibc may use automated systems, including AI, to help review Product submissions and to assist in responding to support inquiries. Automated decisions may be reviewed by a human, and you may contact us to request human review of any decision affecting your account.
8.Buyer terms
When you subscribe to or purchase a Product, you enter into a transaction facilitated by vibc between you and the Builder. The Builder, not vibc, is responsible for the Product, its functionality, and its support. vibc reviews listings but does not guarantee the quality, safety, or fitness of any Product.
Subscriptions renew according to the terms shown at checkout until cancelled. Refund eligibility is determined by the Builder's refund policy. For transaction issues, contact the Builder first; you may also contact vibc support for assistance.
9.Intellectual property
The Platform itself — including the vibc name, logo, branding, and the software that powers the Platform — is owned by vibc and protected by intellectual-property laws. These Terms do not grant you any right to use vibc's trademarks without our prior written permission.
Builders retain ownership of their own products, code, and brand. Buyers receive only the license to use a Product that the Builder grants them.
10.Prohibited conduct
You agree not to:
- Use the Platform for any unlawful, fraudulent, or harmful purpose;
- List products that are illegal, deceptive, infringing, or designed to harm users;
- Upload malware or attempt to gain unauthorized access to the Platform or other users' accounts;
- Circumvent the Platform's payment system to avoid fees;
- Scrape, copy, or resell Platform data without permission;
- Manipulate gamification features, reviews, rankings, or metrics through fake activity;
- Harass, abuse, or harm other users.
11.Suspension & termination
You may stop using the Platform and close your account at any time. We may suspend or terminate your access, with or without notice, if you violate these Terms, create risk or legal exposure for vibc, or for prolonged inactivity. Upon termination, your right to use the Platform ends, but provisions that by their nature should survive (including fees owed, intellectual-property, disclaimers, and limitation of liability) will survive.
If your account is terminated, you remain entitled to any earned payouts properly owed to you, subject to these Terms and the payment provider's rules.
12.Disclaimers
The Platform is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. vibc does not warrant that the Platform will be uninterrupted, secure, or error-free, or that any Product listed by a Builder will meet your expectations.
vibc is a marketplace and service provider. It is not a party to the underlying transaction between Builders and Buyers and does not guarantee the conduct of any user.
13.Limitation of liability
To the maximum extent permitted by law, vibc and its officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Platform. To the extent permitted by law, vibc's total liability for any claim relating to the Platform will not exceed the greater of the amount of fees you paid to vibc in the twelve months before the claim, or one hundred U.S. dollars (USD $100).
14.Indemnification
You agree to indemnify and hold harmless vibc and its affiliates from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Platform, your Content or Products, your violation of these Terms, or your violation of any law or third-party right.
15.Changes to these terms
We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you, such as posting a notice on the Platform or updating the "Last updated" date above. Your continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.
16.Governing law
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles, except where applicable law requires otherwise. Any disputes will be resolved in the courts located in that jurisdiction, unless a different forum is required by applicable law.
